Terms of Service

The agreement that governs your use of Resipilot.

1. About these terms

These Terms of Service ("Terms") govern your access to and use of the Resipilot platform, websites, and related services (the "Service"). By creating an account or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. The contracting party

The entity you are contracting with depends on where you are located:

  • European Economic Area (EEA), United Kingdom, and Switzerland: Peak Property sp. z o.o., a Polish limited liability company with its registered office at ul. Hoża 29, 00-521 Warsaw, Poland.
  • Rest of the world: Hoza Holdings Pte. Ltd., a Singapore private limited company with its registered office at 21 Tan Quee Lan Street, #02-04 Heritage Place, Singapore 188108.

References to "Resipilot", "we", "us", and "our" mean the applicable entity above.

3. The Service

Resipilot is a platform for residential real-estate owners, investors, and operators, covering short-term rental, mid-term rental, and long-term leasing workflows. Depending on the plan and modules you select, the Service may include orchestration of bookings and listings, remote property viewings, entity-of-record and legal-wrapper services, accounting and reporting, identity and background verification, AI-assisted guest communications, and market intelligence products.

We may change, add, or discontinue features of the Service from time to time. We will give reasonable notice of material changes that negatively affect your use of the Service.

4. Account registration

To use most features you must create an account. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity on your account. Notify us immediately at support@resipilot.com of any unauthorised use.

You must be at least 18 years old and capable of entering into a binding contract to use the Service.

5. Acceptable use

You agree not to:

  • Use the Service to violate any applicable law, regulation, or third-party right;
  • Upload content that is unlawful, infringing, defamatory, or that contains malware;
  • Probe, scan, or test the vulnerability of the Service without our written permission;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Attempt to gain unauthorised access to any part of the Service or related systems;
  • Use the Service to send unsolicited commercial communications in violation of applicable law.

6. Fees and payment

Some modules of the Service are subscription-based or usage-based. Fees, billing cycles, and taxes are described in the applicable order form or pricing page at the time you sign up. Unless otherwise stated, fees are exclusive of applicable VAT, GST, and other indirect taxes, which will be added where required by law. Payments are non-refundable except where required by applicable consumer-protection law or expressly stated otherwise.

We may suspend access to paid modules if an invoice remains unpaid beyond the due date, after giving reasonable notice.

7. Consumer right of withdrawal (EU/UK)

If you are a consumer resident in the EU, EEA, or UK, you may have a statutory right to withdraw from a distance contract within 14 days of its conclusion without giving any reason. By starting to use paid features of the Service during this period you expressly agree that the Service will begin to be provided to you during the withdrawal period and acknowledge that you will lose the right of withdrawal once the Service has been fully performed. Resipilot is primarily a business-to-business service; most users are acting in a commercial capacity and the right of withdrawal does not apply to them.

8. Your data and content

You retain all rights to the data and content you upload to the Service ("Customer Data"). You grant us a worldwide, non-exclusive, royalty-free licence to host, process, and display Customer Data solely to provide the Service. We process personal data in accordance with our Privacy Policy.

Where we process personal data on your behalf (for example, guest or tenant data), we act as a processor and you act as the controller. We will process such data only on your documented instructions and under a data-processing agreement that forms part of these Terms on request.

9. Third-party services

The Service integrates with third-party services such as channel managers, booking platforms, payment processors, identity-verification providers, and authentication providers. Your use of those services is subject to their own terms, and we are not responsible for their availability or content.

10. Intellectual property

We and our licensors own all intellectual property rights in the Service, including the software, design, and any content we provide. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose. You may not copy, modify, reverse-engineer, or create derivative works of the Service except to the extent permitted by mandatory applicable law.

11. Confidentiality

Each party agrees to keep the other party's non-public information confidential and to use it only to perform its obligations under these Terms. This obligation does not apply to information that becomes public through no fault of the receiving party, is independently developed, or is required to be disclosed by law.

12. Warranties and disclaimers

We will provide the Service with reasonable care and skill. To the maximum extent permitted by law, the Service is provided "as is" and "as available". We disclaim all other warranties, express or implied, including fitness for a particular purpose, accuracy of information, and non-infringement. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law (including statutory consumer rights in the EU/UK).

13. Limitation of liability

To the maximum extent permitted by law, neither party is liable to the other for any indirect, incidental, special, consequential, or punitive damages, nor for loss of profits, revenue, data, or goodwill arising out of or related to these Terms. Each party's aggregate liability arising out of or related to these Terms is limited to the fees you paid us in the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in this section limits liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any other liability that cannot be limited under applicable law.

14. Indemnity

You agree to indemnify and hold us harmless from any third-party claim arising out of your breach of these Terms, your Customer Data, or your unlawful use of the Service.

15. Term and termination

These Terms start when you create an account and continue until terminated. You may terminate at any time by closing your account. We may suspend or terminate your access if you materially breach these Terms and fail to cure the breach within 14 days of notice, or immediately if we reasonably believe your use of the Service poses a security or legal risk. Sections that by their nature should survive termination (including IP, confidentiality, liability, and governing law) will survive.

16. Governing law and jurisdiction

If you contract with Peak Property sp. z o.o. (EEA/UK/Switzerland), these Terms are governed by the laws of the Republic of Poland, and the courts of Warsaw, Poland have exclusive jurisdiction, save that consumers may bring claims in the courts of their place of residence as permitted by mandatory law.

If you contract with Hoza Holdings Pte. Ltd. (rest of world), these Terms are governed by the laws of Singapore, and the courts of Singapore have exclusive jurisdiction.

17. Changes to these terms

We may update these Terms from time to time. Material changes will be communicated by email or through the product at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
